Subscription Agreement

1. Introduction

This Subscription Agreement ("Agreement") is entered into between you ("Subscriber", "you", or "your") and SHELL IO (PTY) LTD (CIPC Registration: 2026/033650/07), trading as shell I/O ("Company", "we", "us", or "our"), and governs your subscription to shell I/O Pro (the "Subscription").

By subscribing to shell I/O Pro, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy, which are incorporated herein by reference.

2. Subscription Plans

2.1 Available Plans

We offer the following subscription plans:

• Monthly Pro: R90 per month, billed monthly
• Annual Pro: R900 per year, billed annually (save R180)

Prices are in South African Rand (ZAR) and include VAT where applicable.

2.2 Plan Features

shell I/O Pro includes access to:

• Full curriculum across all courses (Kubernetes, Docker, Linux, AWS, GCP)
• All learning modules (introductory through advanced)
• Weekly challenges with bonus XP rewards
• Digital badges and certificates upon completion
• Priority support
• Future content updates at no additional cost

3. Subscription Term

3.1 Commencement

Your Subscription commences on the date of your first successful payment and continues for the duration of your chosen billing cycle (monthly or annually).

3.2 Automatic Renewal

Your Subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee.

3.3 Renewal Pricing

Renewals are charged at the current subscription rate at the time of renewal, unless you have locked-in pricing (such as Founding Member pricing). We will notify you of any price changes at least 30 days before they take effect.

4. Payment Terms

4.1 Payment Processing

All payments are processed securely through Paystack. We accept major credit and debit cards. By providing your payment information, you authorize us to charge your payment method for the subscription fees.

4.2 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, your subscription may be suspended until the issue is resolved. You are responsible for ensuring your payment information is accurate and up to date.

4.3 Invoices

Invoices are available in your account settings. A receipt will be emailed to you after each successful payment.

5. Cancellation and Termination

5.1 Cancellation by Subscriber

You may cancel your Subscription at any time through your account settings or by contacting us. Upon cancellation:

• You retain access to Pro features until the end of your current billing period
• No further charges will be made to your payment method
• After your subscription expires, you revert to the free tier

5.2 Termination by Company

We may terminate or suspend your Subscription immediately if you:

• Violate our Terms of Service
• Engage in fraudulent activity
• Share your account with unauthorized users
• Attempt to circumvent our systems or security measures

If we terminate your Subscription for cause, you are not entitled to a refund for any unused portion of your subscription.

5.3 Effect of Termination

Upon termination, your access to Pro content will end. Your learning progress, XP, and earned badges will be retained and accessible under the free tier limitations.

6. Refunds

Refunds are governed by our Refund Policy. In summary:

• 7-day money-back guarantee for new subscribers
• No refunds for subscription renewals
• No prorated refunds for cancellations

7. License Grant

7.1 Grant of License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the shell I/O Pro content for your personal, non-commercial educational purposes.

7.2 Restrictions

You may not:

• Share your account or subscription with others
• Copy, reproduce, or distribute our content
• Use the content for commercial training or educational services
• Resell or sublicense access to the platform
• Remove or alter any proprietary notices on the content

8. Service Level

8.1 Availability

We strive to maintain high availability of the platform. However, we do not guarantee uninterrupted access and may need to perform maintenance or updates that temporarily affect availability.

8.2 Changes to Service

We may modify, update, or discontinue features of the Service. We will provide reasonable notice of material changes that significantly affect your subscription benefits.

9. Intellectual Property

All content on shell I/O, including lessons, exercises, graphics, software, and other materials, is owned by shell I/O and protected by intellectual property laws. Your subscription grants you access to use this content but does not transfer any ownership rights.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the subscription fees you paid in the 12 months preceding any claim
• We are not liable for indirect, incidental, special, or consequential damages
• We do not guarantee specific career outcomes or results from completing our courses

11. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising under this Agreement shall be resolved in the courts of South Africa, and you consent to the jurisdiction of such courts.

12. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Subscription after changes constitutes acceptance of the updated Agreement.

13. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and shell I/O regarding your subscription and supersedes any prior agreements or communications.
